Terms of Service for TruMind.ai

Welcome to TruMind.ai. These Terms of Service ("Terms") constitute a binding legal agreement between the individual or entity that creates an account ("Customer," "you," "your") and TruMind.ai ("TruMind.ai," "we," "us," or "our"). This agreement governs your use of our psychometric assessment services, our application known as VectorLead (the "App"), and any related websites or services (collectively, the "Service").

By creating an account, clicking "I Agree," or using the Service, you represent that you have the authority to bind yourself or the entity you represent to these Terms. If you do not agree to all of these Terms, do not access or use the Service.

1. The Service

TruMind.ai provides a service that analyzes communication data, such as meeting transcripts, from third-party platforms (e.g., Zoom, Microsoft Teams) to generate psychometric insights and developmental feedback ("Analysis"). The Service is made available to you on a subscription basis, which may begin with a free trial as offered by us.

2. User Accounts

To use the Service, the Customer must create an account. The Customer is responsible for all individuals who access the Service through its account ("Users"). The Customer agrees to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the confidentiality and security of account credentials.
  • Be solely responsible for all activities that occur under its account, including the actions of its Users.
  • Ensure all Users are at least 18 years old or the age of legal majority in their jurisdiction.

3. User Content and Data Processing

  • Your Content: You (and your Users) retain all ownership rights to the content you submit to the Service, including meeting transcripts and other data ("User Content").
  • License to Us: You grant TruMind.ai a limited, worldwide, non-exclusive, royalty-free license to access, use, process, and display User Content solely for the purposes of providing, maintaining, securing, and improving the Service for you. As detailed in our Privacy Policy, we do not store transcripts after processing. We store the resulting Analysis to allow you to track developmental progress, and you are free to delete this Analysis at any time.
  • CRITICAL: Consent from All Participants: You represent and warrant that you have obtained all necessary rights, releases, and permissions from every participant in any meeting or communication before you process its User Content with our Service. You are solely responsible for ensuring that your and your Users' use of the Service complies with all applicable laws, regulations, and any corporate or third-party policies regarding recording, privacy, and data processing.
  • Data Processing Addendum (DPA): For Customers subject to certain data protection regulations (such as the General Data Protection Regulation or the California Consumer Privacy Act), these Terms incorporate by reference our Data Processing Addendum, available at [Link to Your DPA]. This DPA governs the processing of personal data on your behalf.

4. Acceptable Use

You agree that you will not, and will not permit your Users to, use the Service to:

  • Violate any applicable law, regulation, or privacy right.
  • Infringe on the intellectual property, publicity, or other rights of any third party.
  • Transmit any viruses, malware, or other malicious or harmful code.
  • Attempt to reverse-engineer, decompile, disassemble, or discover the source code or underlying models of our App or Service.

5. Fees, Payment, and Subscriptions

  • Subscriptions: The Service is offered on a subscription basis. Fees are billed in advance on a recurring cycle (e.g., monthly or annually), as specified on your billing page.
  • Payment: We use a third-party payment processor. By providing a valid payment method, you authorize us (through our processor) to charge you the subscription fees on each billing date.
  • Cancellations: You may cancel your subscription at any time through your account settings at [Link to Your Account/Billing Page]. The cancellation will become effective at the end of the current billing period, and you will not be charged again.
  • No Refunds: Subscription fees are non-refundable, except where required by applicable law.
  • Free Trials: If we offer a free trial, your payment method will be automatically charged the applicable subscription fee at the end of the trial period unless you cancel your subscription prior to that time.

6. Intellectual Property

Excluding your User Content, the Service and all materials therein—including the software, App, graphics, our proprietary psychometric models, and the framework of the generated Analysis—are the exclusive property of TruMind.ai and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms.

7. Termination

You may terminate this agreement at any time by canceling your subscription and ceasing all use of the Service. We reserve the right to suspend or terminate your access to the Service immediately, with or without notice, if you are in breach of these Terms. Upon termination, your right to use the Service will cease, and we may, in accordance with our data retention policies, delete your account and all stored Analysis data.

8. Disclaimers and Limitation of Liability

  • "AS IS" Service: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • For Informational Purposes Only: The Analysis provided by the Service is for informational and developmental purposes only. It is not a substitute for professional, medical, or psychological advice, and we make no guarantees regarding any personal or professional outcomes from its use.
  • LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TRUMIND.AI, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS $100) OR THE TOTAL AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless TruMind.ai and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your or your Users' access to or use of the Service; (b) your breach of any term of these Terms; (c) your User Content; or (d) your failure to obtain necessary consent from meeting participants.

10. Dispute Resolution and Governing Law

  • Governing Law: These Terms shall be governed by the laws of the State of New Hampshire, without regard to its conflict of law provisions.
  • Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, will be determined by binding arbitration in Manchester, New Hampshire, before one arbitrator. The arbitration will be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
  • Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, or patents.
  • Class Action Waiver: You agree that any claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

11. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy (available at https://trumind.ai/privacy) and Data Processing Addendum, constitute the entire and exclusive agreement between you and TruMind.ai.
  • Changes to Terms: We reserve the right to modify these Terms at any time. If we make a material change to these Terms, we will provide you with notice (for example, by sending an email to the address associated with your account) at least thirty (30) days before the change takes effect. Your continued use of the Service after the effective date of the new Terms constitutes your acceptance of the changes.
  • Feedback: If you or your Users provide us with any ideas, suggestions, or recommendations regarding the Service ("Feedback"), we will have a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate such Feedback into any of our products and services without any obligation or compensation to you.
  • Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null. We may freely assign or transfer these Terms without restriction.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
  • Force Majeure: Neither party will be liable for any failure or delay in performing its obligations under these Terms on account of any event beyond its reasonable control, including, without limitation, a strike, blockade, war, act of terrorism, riot, natural disaster, or failure or diminishment of power or telecommunications or data networks or services.
  • Notices: Any notices or other communications provided by TruMind.ai under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; or (ii) by posting to the Service. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted. All legal notices to TruMind.ai must be sent to jeff@trumind.ai.
